By accessing or using BlueKode Solutions' website, software products, or services (collectively, 'Services'), you agree to be bound by these Terms and Conditions ('Terms'). If you do not agree to these Terms, please do not use our Services. These Terms constitute a legally binding agreement between you and BlueKode Solutions.

BlueKode Solutions provides enterprise software solutions including Point of Sales (POS), Restaurant Management System (RMS), Customer Relationship Management (CRM), Enterprise Resource Planning (ERP), Supply Chain Management (SCM), and Inventory Management software. The specific features, pricing, and terms of each product are detailed in your respective service agreement or subscription plan.

• Subject to your compliance with these Terms, BlueKode Solutions grants you a limited, non-exclusive, non-transferable, revocable licence to use our Services for your internal business purposes.
• You may not sublicense, sell, resell, transfer, assign, or otherwise commercially exploit or make available to any third party the Services.
• You may not modify, translate, adapt, or create derivative works based on the Services.
• You may not reverse engineer, disassemble, or decompile any part of the Services.
• You may not use the Services to store or transmit infringing, defamatory, or otherwise unlawful material.

To access certain features of our Services, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use. BlueKode Solutions is not liable for any loss resulting from unauthorised use of your account.

• Pricing for our Services is as specified in your service agreement or subscription plan.
• Payment is due as specified in your agreement. Late payments may incur interest charges.
• All fees are non-refundable unless otherwise specified in your agreement or required by applicable law.
• We reserve the right to modify pricing with 30 days' notice. Continued use after price changes constitutes acceptance.
• You are responsible for all applicable taxes, levies, and duties imposed by your jurisdiction.

All intellectual property rights in and to the Services, including software, designs, graphics, and documentation, are and shall remain the exclusive property of BlueKode Solutions. Nothing in these Terms grants you ownership rights in our intellectual property. Any feedback, suggestions, or improvements you provide may be used by us without obligation to you.

Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information and to use such information only for purposes of performing its obligations under these Terms. This obligation survives termination of your use of the Services for a period of three (3) years.

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your use of our Services complies with all applicable data protection laws. BlueKode Solutions implements reasonable technical and organisational measures to protect your data.

You agree to indemnify, defend, and hold harmless BlueKode Solutions, its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days of written notice. BlueKode Solutions may suspend or terminate your access to the Services immediately for violation of these Terms. Upon termination, all licences granted to you will cease.

These Terms shall be governed by the laws of India, without regard to its conflict of law principles. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Coimbatore, Tamil Nadu, India. We encourage resolution of disputes through good-faith negotiation before litigation.

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or prominent notice on our website. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
